Jefferies Announces $1 Billion Universal Shelf Registration

NEW YORK--(BUSINESS WIRE)--July 15, 2003--Jefferies Group, Inc. (NYSE: JEF) today announced that its Board of Directors approved the filing of a $1 billion universal shelf registration statement with the Securities and Exchange Commission. The filing will allow Jefferies to offer, from time to time, any combination of senior and subordinated debt securities, convertible debt securities, equity securities, preferred securities, warrants and depositary shares.

"We have ample liquidity and no current plans to access the capital markets," said Richard B. Handler, Chairman and Chief Executive Officer of Jefferies. "This shelf registration will provide us with maximum flexibility as we continue to invest in Jefferies' businesses and explore various opportunities for the long-term benefit of all shareholders."

A registration statement relating to these securities has been filed with the Securities and Exchange Commission, but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
